CONSTITUTION AND BY-LAWS OF THE WALTON RADIO ASSOCIATION
Preamble:
We, the undersigned being desirous to secure for ourselves the pleasures and benefits of the association of persons commonly interested in Amateur Radio, by furthering better cooperation among the members, develop individual efficiency, furthering the interest of radio in the general community, do hereby constitute ourselves the Walton Radio Association and do enact this constitution as our governing law.
ARTICLE I
Membership:
Section 1 - All persons interested in amateur radio shall be eligible for membership. (Membership shall be by application and election upon such terms as the club shall by its By-Laws provide.)
ARTICLE II
Officers:
Section 1 - The officers of this club shall be President, Vice President, Treasurer, Secretary and Activities Manager.
Section 2 - The officers of this club shall be elected for a term of one year by ballot of the members present provided there is a quorum at the first meeting in January.
Section 3 - Vacancies occurring must be filled by special ballot, at the first regular meeting at which the withdrawal or resignation is announced.
Section 4 - Officers may be removed on motion by a three-fourths vote of the membership.
ARTICLE III
Duties of Officers:
Section 1 - The President shall preside at all meetings of this club, and conduct the same according to the rules adopted; he shall enforce due observance of this Constitution and By-Laws, decide all questions of order; sign all official documents that are adopted by the club, and none other, and perform all customary duties pertaining to the office of the President.
Section 2 - The Vice-President shall assume all the duties of the President in the absence of the latter.
Section 3 - The Secretary shall keep a record of the proceedings of all meetings, submit applications for membership, carry on all correspondence, and read communications at each meeting. He shall at the expiration of his term turn over everything in his possession belonging to the club to his successor.
Section 4 - The Treasurer shall keep a roll of members, receive and receipt for all monies paid to the club; he shall keep an accurate account of all monies received and expended. He shall pay no bills exceeding $500.00 per month without prior authorization. At least quarterly, the Treasurer shall provide a report regarding any and all financial transactions of the club. He shall at the expiration of his term turn over everything in his possession to do with the club to his successor.
Section 5 - The Activities Manager shall organize club radio station activities, contests for enjoyment, and general interest maintenance. He shall endeavor to keep local stations organized for cooperation with municipal, state or federal authorities in public emergency. He shall keep informed by questionnaires or other means of the equipment, normal operation frequencies, and hours, and type of operation of such members as possess station equipment, to facilitate emergency organization and to help in planning general interest activities' He shall encourage new stations in reporting activities properly to the club (bulletin) and the elected Section communications official of the A.R.R.L.; all these things to make the standing of the club and amateur radio activities in the community as outstanding as possible. He may appoint traffic committees or assistants to aid him in specific branches of activity.
ARTICLE IV
Meetings:
Section 1 - The By-Laws shall provide for regular and special meetings. At all meetings, one-third of the membership shall constitute a quorum for the transaction of business.
ARTICLE V
Dues:
Section 1 - The Walton Radio Association by a majority vote of those present at any regular meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization •
ARTICLE VI
Amendments:
Section 1 - This Constitution of the By-Laws may be amended by a two-thirds vote of the total membership.
ARTICLE VII
Rules:
Section 1 - Robert’s Rule of Order shall govern all proceedings of this club.
